Terms of Service
Draft, pending legal review. This is a good-faith draft written to reflect Umbra's actual alpha data flows; it has not yet been reviewed by counsel. Questions? Contact us.
These terms govern your use of Umbra. Umbra is an experimental alpha: it is provided as-is and may change or break. Developer card top-ups are real. Provider cash-out is an HK-only rollout and is available only when the provider wallet says payouts are active. By using Umbra you agree to these terms. If you do not agree, do not use the service.
Paid API credit is live; provider cash-out is an HK-only rollout. You can buy prepaid inference credit with a card (processed by Stripe); charges are real. Purchased credit is spendable on inference only and is non-refundable and non-withdrawable (no cash value, cannot be paid back to you). Promotional/free credit is likewise spendable-only and non-withdrawable. When the provider wallet shows payouts as active, a provider with a payout-enabled Hong Kong Stripe connected account may withdraw settled wallet earnings. Unsettled projections and other estimates are not payable. Any "free tokens" figure is an estimate; see §2.
This is a draft, not legal advice. This document is a good-faith draft prepared for the operator and their counsel to review. It is not legal advice and does not create any attorney-client relationship.
1. Eligibility and acceptance of terms
You must be at least 18 years old to use Umbra. By using it you confirm you are 18+ and able to enter into this agreement. By creating an account or using Umbra, you accept these Terms of Service and thePrivacy Policy. If you do not agree, do not use the service.
2. Payments, credit, and tokens
- Developer credit is live. You may buy prepaid inference credit with a card via our payment processor (Stripe). Charges are real. Purchased credit is non-refundable and non-withdrawable: it can be spent on inference on the platform but has no cash value and cannot be paid back to you.
- Promotional and free credit (for example signup or referral bonuses) is spendable on inference only, has no cash value, and is non-withdrawable.
- Provider payouts are limited to Hong Kong. A provider must complete Stripe-hosted verification for a payout-enabled Hong Kong connected account and meet the $25 minimum. Only settled earnings shown as withdrawable are payable. Stripe controls bank payout timing, supported payout accounts, verification requirements, holds, and Stripe fees.
- Token figures are estimates. Any "free tokens" or token count shown in marketing (for example "up to 10 million free tokens") is an estimate derived from your credit balance at a reference rate of $0.10 per million input tokens, our current lowest per-model input price. The actual number of tokens you can run depends on the model you choose and your input/output mix; output tokens are priced higher, so real token counts are typically lower than the headline figure.
- The service may be changed, interrupted, rate-limited, reset, or discontinued at any time, without notice or liability.
- Production routing uses Apple hardware attestation and an app-targeted running-code identity challenge as described in our Privacy Policy. Attestation verifies machine and client state, not model accuracy or output.
- We may change payment and payout availability prospectively, including supported countries, after updating these terms and the product notice.
3. Your account
Provide accurate information and keep your credentials and API keys secure. You are responsible for all activity under your account and keys. Notify us promptly of any unauthorized use. Do not share API keys.
4. What Umbra does, and your responsibility
Umbra routes your inference requests to independent provider machines running public, open-weight models. We are a neutral conduit: as described in our Privacy Policy, we do not see, log, or store your prompts or the model's outputs. Because of that, you are solely responsible for the prompts you submit and how you use the outputs, including their accuracy, legality, and any consequences.
Models are third-party artifacts; verify before you use them. Umbra does not create, train, fine-tune, curate, or endorse the content of any model. Every model in the catalog is a public, open-weight model created by an independent third party and published on Hugging Face. For every model, the /v1/models endpoint and the console surface its Hugging Face repository, license, pinned revision, and GGUF SHA-256 integrity digest, so you can and should review the model's Hugging Face page, license, and known issues before you use it. A developer who uses a model without reviewing its HF page assumes the risk of that model's behavior.
Who is responsible if a model's output causes harm
If a model produces a dangerous, harmful, or illegal output, responsibility sits with the provider who chose to host that model (they selected, approved, and pulled it with their own Hugging Face key) and the model's author (who created and published it), not with Umbra. Umbra is the neutral pipe that routes requests and verifies attestation; it does not select, control, or endorse the models providers choose to host. Our role is to surface enough provenance (HF repo, license, digest) for you to make an informed decision, and to act on abuse reports and lawful takedown requests (see §7 below). Attestation proves the machine is genuine; it does not warrant the model's outputs.
5. Acceptable use
Umbra is a neutral marketplace. Providers independently select and host public, open-weight models from Hugging Face; Umbra does not host, curate, or endorse specific models. Some providers may choose to hostuncensored or unfiltered models — that label describes a category of model a provider MAY host, not a feature of the platform. A model's presence in the catalog reflects a provider's independent choice, not platform endorsement. You may use the models providers choose to host for lawful purposes, including legitimate uses that mainstream providers decline to serve. You may not use Umbra to:
- create, solicit, or distribute child sexual abuse material or anything that sexually exploits or endangers minors;
- engage in or facilitate anything illegal under applicable law (including credible threats or incitement of violence, fraud, harassment, creation of malware, or unauthorized access to systems);
- infringe others' intellectual-property, privacy, or other rights;
- attack, overload, probe, de-anonymize, or attempt to reverse-engineer or defeat the security or attestation of the network, its providers, or other users;
- circumvent metering, rate limits, or access controls, or resell access without our written permission.
You are solely responsible for complying with the laws that apply to you and your use. Because we do not log prompts, enforcement relies on you acting in good faith; we may suspend or terminate accounts we reasonably believe violate these terms or the law.
6. Providers
If you operate a provider machine on the network, the Provider Agreement applies to you in addition to these terms. In summary:
- You select, approve, and host public, platform-approved Hugging Face models using your own Hugging Face credentials, and you are responsible for complying with each model's license and the laws that apply to you.
- You run our attested provider client and are responsible for your machine and its security.
- Eligible providers with a payout-enabled Hong Kong Stripe connected account may withdraw settled earnings marked withdrawable. Projections, promotional credit, and purchased developer credit are non-binding and cannot be withdrawn.
7. Intellectual property
Umbra and its software, name, and marks are owned by us. You retain all rights to your prompts and outputs (which we do not access). You grant us only the limited rights needed to operate the service (chiefly to route your request and record content-free usage counts).
8. Disclaimers
Umbra is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, availability, accuracy, or non-infringement. Model outputs may be wrong, biased, or offensive. You use Umbra at your own risk.
9. Limitation of liability
To the maximum extent permitted by law, Umbra and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the service. Our total liability is limited to the amount you paid us for the service in the prior twelve months (and, if you have not paid us anything, is zero).
10. Indemnification
You agree to indemnify and hold harmless Umbra and its operators from claims arising out of your use of the service or your violation of these terms or applicable law.
11. Termination
You may stop using Umbra at any time. We may suspend or terminate access at any time, including for suspected violations of these terms.
12. Governing law
These terms are governed by the laws of Hong Kong, without regard to conflict-of-laws rules. Disputes will be resolved in the courts of Hong Kong.
13. Changes to these terms
We may update these terms as the service evolves. The "Last updated" date reflects the latest version; continued use after a change means you accept the updated terms.
